1. Introduction
Welcome to Durabyte (“we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, digital services, and any projects or deliverables we provide. By engaging with Durabyte or accessing our platform, you agree to be bound by these Terms.
2. Services
Durabyte provides professional web design, web development, branding, digital marketing, and hosting services. The scope of each service will be outlined in the individual proposal or agreement shared with the client prior to project commencement.
3. Client Responsibilities
- Provide accurate and complete project details, content, and branding materials in a timely manner.
- Respond to feedback requests and approvals as per the agreed timeline to prevent project delays.
- Ensure that any materials (logos, text, media, etc.) provided do not infringe third-party intellectual property rights.
4. Project Timelines & Delivery
Durabyte makes every effort to deliver projects within agreed timelines. However, delivery dates are estimates and may vary due to revisions, third-party dependencies, or unforeseen technical issues. Clients will be promptly informed of any delays.
5. Payments & Invoicing
- All payments must be made according to the milestones outlined in the project proposal.
- Advance payments or deposits are non-refundable once the project has begun.
- Project files, hosting credentials, or source code will be released only after full payment is received.
6. Revisions & Scope
Each project includes a defined number of design and content revisions. Additional changes beyond the approved scope will incur extra costs, billed at our standard hourly rate or as per a new proposal.
7. Intellectual Property
Upon full payment, the client will own the rights to the final approved website, design, or code deliverables. However, Durabyte retains the right to display completed projects in our portfolio for marketing and showcase purposes unless agreed otherwise in writing.
8. Hosting & Maintenance
For clients using Durabyte’s hosting or maintenance plans, uptime, backups, and updates will be managed as per the plan details. We are not liable for downtime caused by third-party providers, DNS issues, or client-side changes.
9. Cancellations & Refunds
- Projects cancelled after initiation will incur charges for work completed up to the cancellation date.
- No refunds will be provided once final deliverables have been submitted or deployed.
10. Limitation of Liability
Durabyte shall not be liable for indirect, incidental, or consequential damages resulting from the use or inability to use our products or services. Our total liability shall not exceed the amount paid for the service in question.
11. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary or sensitive information exchanged during the project. Durabyte may, however, use general project information for internal analytics or service improvement.
12. Termination
Durabyte reserves the right to suspend or terminate a project or account if the client violates these Terms, engages in fraudulent activity, or fails to complete payment obligations.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved under the jurisdiction of the courts located in New York, NY.
14. Updates to Terms
Durabyte reserves the right to modify these Terms of Service at any time. Updated versions will be posted on this page, and continued use of our website or services indicates acceptance of the new terms.
